Event Partner Terms and Conditions

Effective 8 November 2026

Contracting entity: Iconic Connex (Pty) Ltd (registration number 2018/371055/07), trading as TAPDX Tags

Company registration: 2018/371055/07 | Website: https://tapdxtags.com

Correspondence: iconic.connex25@gmail.com | Business address: 9 Pebble Lake, Florin Road, Strubensvalley, Roodepoort, 1724, South Africa

1. Status, interpretation and application

1.1. These terms govern the relationship between Iconic Connex (Pty) Ltd (registration number 2018/371055/07), trading as TAPDX Tags ("TAPDX") and the organisation expressly identified and accepted in the relevant written Commercial Schedule (the "Event Partner").

1.2. An enquiry, application, presentation, demonstration, use of a prototype or attendance at an event does not alone create an appointment, quotation, authorised resale arrangement or entitlement to compensation.

1.3. The accepted quotation, relevant schedules and any expressly incorporated signed terms form part of the agreement; a specific negotiated schedule governs the transaction to which it relates, subject always to applicable mandatory law.

1.4. No document in this pack operates retrospectively to alter a previously concluded contract without the legally effective agreement of the affected parties.

2. Appointment and independent status

2.1. TAPDX may appoint the Event Partner for the particular event identified in Schedule A. The appointment is non-exclusive and creates no employment, franchise, agency, joint venture or power to bind the other party.

2.2. The Event Partner may include agreed TAPDX products in its own exhibitor, sponsor, finalist or delegate packages; it shall not hold itself out as a general TAPDX reseller or appoint sub-resellers without separate express written authority.

2.3. TAPDX may sell directly at the event and serve other customers or partners, subject to expressly agreed exclusivity, if any.

2.4. Current partner eligibility is limited to people and businesses based in South Africa. Applicants based elsewhere may choose an optional “Let me know” email notification. No notification email is retained merely because an ineligible person visits the joining page. Partner province is selected from the available South African provinces.

2.5. TAPDX requires every individual partner or authorised individual representative of a business partner to complete identity verification using a valid South African identity document, submitted once at the final verification step before commercial approval. Registered businesses must also provide company registration particulars and evidence of authority where required. An individual trading in their own name need not provide a company registration number. One verified individual may represent multiple authorised businesses without repeated identity uploads solely for that reason.

2.6. Commercial appointment activation requires completed verification and acceptance of the applicable terms. Application approval, requests for additional information and declines shall be explained by a specific reason through the partner account and by email, using gender-neutral language.

2.7. If TAPDX will make a commission or other approved payout to the Partner, a bank confirmation letter or acceptable bank-issued equivalent is mandatory before the first payout and whenever the nominated bank account changes. No payout may be sent to an unverified new account. A Partner purchasing tags only, without a TAPDX payout, need not submit payout banking documents. Outstanding verification does not extinguish otherwise valid accrued entitlements.

3. Scope and event experiences

3.1. The accepted scope may comprise an Attendee Experience, Exhibitor Discovery, Sponsor Experience and Post-event Connection; each experience must be expressly selected and technically scoped in Schedule B before supply.

3.2. The attendee-facing experiences included for a contracted event shall be made available to attending users without an additional TAPDX charge merely to access the agreed event content. Optional purchases, paid third-party services and separately contracted services remain distinct.

3.3. A physical tag provides an entry point to a valid digital destination; it does not itself guarantee identifiable visitor recognition, a qualified lead, customer consent, sales, bookings or a continuing analytics service.

3.4. An event package does not automatically include unlimited bespoke journeys, subscriptions, staffing, integrations or reprints.

4. Event Partner responsibilities

4.1. The Event Partner shall provide accurate dates, venue particulars, brand assets, approved text, participant and sponsor descriptions, artwork and operational requirements in time for agreed production milestones.

4.2. The Event Partner shall obtain relevant venue permissions, organiser approvals and lawful rights to the names, marks, artwork and material it supplies.

4.3. The Event Partner shall administer its own event, participants and sponsor obligations, ensure accuracy of its package commitments and not promise capabilities or results that TAPDX has not accepted in writing.

4.4. The Event Partner shall promptly identify any sponsor-funded distribution, special categories of participants or personal-information collection requirements so that the parties can agree responsibilities before launch.

5. TAPDX responsibilities and service boundaries

5.1. TAPDX shall perform accepted manufacturing, NFC preparation, configuration, reasonable testing and other services with reasonable care and skill within the agreed scope and applicable law.

5.2. TAPDX shall confirm the scope of first-event founding support, if any, in writing. Founding status alone does not entail free physical products, event-day personnel, transport, unlimited configurations or future free services.

5.3. TAPDX is not the event organiser and is not responsible for venue operations, participant attendance, sponsor satisfaction or the Partner's unrelated client commitments.

6. Contracting, billing and collections

6.1. The Event Partner contracts with and invoices its own exhibitors, sponsors, finalists and other package customers for the packages it sells. TAPDX invoices the Event Partner only for TAPDX products and services purchased by that Partner under its accepted order.

6.2. A sale concluded and invoiced directly by TAPDX to a customer at the event is a separate TAPDX transaction and is not part of the Event Partner's own package turnover.

6.3. The Event Partner shall pay amounts validly invoiced by TAPDX irrespective of its own collections from exhibitors, sponsors or other package customers.

6.4. Neither party may contract for, incur costs in the name of or make a binding promise on behalf of the other without express written authority.

7. Direct event sales and commission

7.1. Where expressly approved in the signed Event Commercial Schedule, eligible, attributable direct TAPDX event sales earn commission at fifteen percent (15%), or twenty percent (20%) where the Partner actually carries out the separately identified and agreed active promotional responsibilities.

7.2. Unless a lawful signed schedule expressly provides otherwise, commissionable revenue means eligible net product or service consideration actually received by TAPDX in cleared funds, pass-through delivery, refunded amounts, reversals and amounts outside the approved product and attribution scope.

7.3. Approved commission is sent by EFT to the verified bank account on the twenty-fifth (25th) day of each month, or the preceding business day where the 25th is not a business day, for eligible customer payments received by TAPDX in cleared funds during the preceding calendar month, subject to applicable eligibility, reconciliation and permitted refund or reversal adjustments. TAPDX bears its own EFT sending-bank charges. This is the date TAPDX sends payment, not a guarantee of receipt by the Partner.

7.3A. With each payout, TAPDX makes a transaction-level earnings statement and payment-sent notification available in the Partner account, showing eligible transactions, agreed rate, adjustments, net amount and payment reference. The notice states that funds normally reflect in one (1) to three (3) working days, depending on the receiving bank. Payout statements and payout notices are never emailed. Application approvals, declines and requests for further information are communicated both as an account notification and by email; a decline or a request for further information states clear, specific reasons.

7.4. No commission is payable on the Partner's own discounted bulk purchase, on the Partner's own event-package receipts, or on event sponsorship funding merely because a sponsor financed the event. No transaction may receive duplicate commission or a commission and wholesale discount for the Partner on the same purchase.

7.5. An Event Partner may opt into an independently approved business-only Refer & Earn appointment from its referral approval date, even before its first event. Subsequent direct customer orders qualify only under that signed business referral schedule and its automated attribution criteria; no automatic perpetual organiser or exhibitor commission applies.

8. Custom-branded pricing and approved quotation

8.1. TAPDX shall obtain or assess a supplier quotation appropriate to the requested bulk or custom- branded products, quantities, artwork, specifications and manufacturing requirements, and shall determine its own approved bulk selling price after taking account of landed costs, preparation, fulfilment and its commercial pricing controls.

8.2. An approved Event Partner purchasing eligible made-to-order blank or custom-branded physical NFC tags under an accepted event distribution arrangement receives a 20% discount on TAPDX’s approved bulk selling price in the current supplier-informed written quotation. The order-specific margin controls and manufacturing minimums apply. against the TAPDX-approved bulk selling price stated in the written quotation for that particular order.

8.3. The discount base is TAPDX's approved bulk selling price, not the supplier's purchase price, retail shop price, a cohort concession or an illustrative catalogue or journey example. The discount shall not automatically be stacked with a volume, promotional, referral or other concession.

8.4. TAPDX shall review the proposed discounted net price against its applicable cost and margin controls before issuing and accepting the quotation. A price failing that review shall be referred for owner approval and shall not become an accepted order unless an alternative is agreed in writing.

8.5. The accepted quotation shall specify eligible product lines, exact design or variant, quantity, base unit selling price, discount, resulting net unit price and separately chargeable services. Supplier quotes, landed-cost workings and margin calculations remain TAPDX confidential information.

8.6. An accepted quotation applies only to its stated order. A prior quotation or exceptional cohort price is not a binding rate for a future order; no price already accepted may be unilaterally altered after acceptance.

9. Quantities, top-ups and production

9.1. The initial qualifying order is at least fifty (50) physical tags in aggregate. Any supplier manufacturing minimum of fifty (50) units per exact design or variant also applies and cannot be met by combining different exact variants, unless TAPDX confirms a feasible exception in writing. A later top-up does not trigger a second initial-order minimum; it remains subject to the actual supplier minimum, availability, production cut-off, a fresh accepted written quotation and full prepayment. The qualifying partner twenty percent (20%) discount continues to apply to eligible top-ups.

9.2. For every custom-manufactured exact design or variant, the supplier minimum remains applicable as stated in clause 9.1. Quantity and artwork for each variant must be approved in the order-specific quotation and proof.

9.3. A top-up for the same event may be requested before the agreed production cut-off, without imposing another initial 50-tag aggregate minimum. Each manufacturing line must satisfy the applicable exact-variant supplier minimum unless specifically waived after feasibility confirmation.

9.4. Every eligible top-up uses a fresh supplier-informed TAPDX-approved bulk selling price with the agreed 20% partner discount; full payment and written acceptance are required before manufacturing. The original order unit price does not automatically carry forward.

9.5. TAPDX may refuse a late or technically infeasible top-up before acceptance, giving reasonable notice of any relevant capacity, artwork or delivery constraint.

9.6. Full payment and approval of artwork and specifications are required before each custom- branded production run begins. Production, setup and supplier commitments may have commenced as separately agreed before physical manufacturing.

10. Special concessions and exclusions

10.1. An individually negotiated cohort, programme or institutional concession applies only to the expressly identified recipient, order and period, and does not constitute standard wholesale pricing or a precedent for other partners.

10.2. The parties acknowledge that earlier public or illustrative examples are not automatically binding partner prices. Only a valid accepted quotation establishes the transaction price.

10.3. The retail prices of R349 for large acrylic tags and R299 for small tag variants are separate from supplier-informed custom and partner pricing and do not automatically define an eligible discount base.

11. Artwork, manufacturing approval and ownership

11.1. The Partner is responsible for carefully reviewing proofs, spelling, dimensions, colours and branding before written approval; the approved proof and specification form part of the order.

11.2. TAPDX may use the supplied marks solely to fulfil the accepted transaction. The Partner warrants it is entitled to supply and authorise their use.

11.3. Where an error derives from an approved Partner proof and manufacture matches that proof, any discretionary reprint is separately priced; this does not affect remedies for TAPDX-caused defects or non-conformity.

12. Delivery and event logistics

12.1. Manufacturing and delivery estimates shall be recorded in the accepted quotation and remain subject to agreed artwork approvals, timely payment, supplier conditions and delivery arrangements.

12.2. Delivery charges, where not included, shall be quoted or invoiced separately before dispatch, and the parties shall agree responsibility for event delivery, installation, distribution and uncollected stock.

12.3. Any transfer of risk or ownership shall follow the accepted order and applicable law; no blanket clause transfers risk contrary to a mandatory statutory right.

13. Event reporting and results

13.1. Any dashboard or report shall be limited to capabilities actually implemented and selected in Schedule B. Illustrative mock-ups and pilot metrics are not guarantees or evidence of live functionality.

13.2. Taps, page visits, expression-of-interest actions, submitted enquiries, bookings and paid sales shall be reported as distinct event categories to the extent verified and supported.

13.3. Event organisers may receive permitted aggregate reporting. Identifiable attendee, exhibitor or sponsor information shall not be supplied automatically and requires the relevant lawful basis and agreed access scope.

13.4. No particular attendance, conversion, revenue, retention, sponsor renewal or other outcome is guaranteed.

14. Cancellation, postponement and pre-production costs

14.1. Changes to the Agreed Scope. Any material change to an accepted order, event date, configuration, product quantity, branding requirement, delivery arrangement or other agreed deliverable shall be communicated in writing and shall be subject to any necessary revised quotation or written approval.

14.2. Non-Refundable Custom Orders. TAPDX does not provide discretionary refunds for accepted custom-branded or personalised Event Partner orders arising from a change of mind, event cancellation, postponement, reduced attendance, over-ordering or a change in the Event Partner's requirements. This condition shall apply whether cancellation is requested before or after physical production commences, to the extent permitted by applicable law.

14.3. Pre-Production Work and Committed Resources. Where TAPDX has commenced authorised preparation work or incurred reasonably identifiable costs in reliance on the accepted event arrangement, the Event Partner shall remain responsible for those costs if the event is cancelled or postponed for reasons not attributable to TAPDX, subject to applicable law. Such costs may include event planning, artwork preparation, technical configuration, supplier commitments, personnel bookings and other agreed event-specific services. Any additional amount claimed shall be reasonably substantiated and shall not duplicate amounts already paid.

14.4. Goodwill Rescheduling. TAPDX recognises that event dates may change due to unforeseen circumstances and shall make reasonable efforts to accommodate one postponement. Any revised arrangement shall be subject to TAPDX's availability, existing commercial commitments, operational capacity and written confirmation.

14.5. Rescheduling Charges. Where the first postponement can be accommodated without material additional work or expense, TAPDX shall not impose a separate postponement penalty. Where additional work, services or non-recoverable expenses arise, TAPDX shall communicate the relevant costs and obtain the Event Partner's written acceptance before confirming the additional services.

14.6. Digital Journey Updates. TAPDX may, as a goodwill gesture, provide one consolidated update to the existing digital journey to reflect the revised event date, time, venue or other essential event information, where technically supported. Any complimentary update must be expressly confirmed in writing. Further revisions, redesigns, new functionality, replacement tags or additional implementation work shall be separately assessed and quoted.

14.7. Personnel and Resource Commitments. The Event Partner acknowledges that TAPDX may have reserved personnel, contractors, suppliers and other resources for the original event date. Where postponement results in reasonable non-recoverable expenses or requires additional resource commitments, the parties shall address those costs in accordance with the accepted agreement and the written rescheduling arrangements.

14.8. Lost Business Opportunities. TAPDX shall not automatically charge the Event Partner for estimated or hypothetical lost revenue. TAPDX may nevertheless take its existing bookings and commercial commitments into account when determining whether a proposed replacement date can be accommodated.

14.9. Subsequent Postponements. Any further postponement shall require a separate written request and assessment. TAPDX shall not be obliged to provide additional complimentary updates, rescheduling services or replacement resources.

14.10. Store Credit. Event cancellation or postponement shall not automatically entitle the Event Partner to a monetary refund or Store Credit. TAPDX may offer Store Credit as a goodwill adjustment where no monetary refund is due, subject to written confirmation of the applicable conditions.

14.11. Mandatory Legal Rights. Nothing in this section shall exclude any refund, repair, replacement or other remedy required by applicable law or arising from a legally enforceable obligation that TAPDX has failed to fulfil.

14.12. Cancellation or non-performance by TAPDX. Where TAPDX is unable to deliver agreed products or services for reasons attributable to TAPDX, the parties shall determine the appropriate remedy with reference to the affected obligations, the terms of the accepted agreement and applicable law.

14.13. Events beyond reasonable control. Where circumstances beyond a party's reasonable control materially prevent or delay performance, that party shall notify the other as soon as reasonably practicable and shall take reasonable steps to mitigate the resulting disruption.

14.14. The occurrence of an event beyond a party's reasonable control shall not automatically extinguish accrued payment obligations, statutory refund rights or other legal responsibilities.

15. Refunds, defects and remedies

15.1. In addition to the protected custom-order change-of-mind restrictions in clause 14.2, no accepted bulk order of fifty (50) or more tags, whether blank, standard or custom-branded, is eligible for a discretionary change-of-mind refund. The accepted custom-order restriction in clause 14.2 and mandatory remedies for defective, incorrectly supplied or undelivered goods remain unchanged.

15.2. Defects, failure to meet approved specifications, statutory cancellation entitlements and actionable non-performance shall be addressed under the Event Partner Sales, Cancellation and Returns Policy and applicable law.

15.3. Where a statutory monetary refund is due, TAPDX shall not substitute Store Credit without a legally valid election or agreement.

16. Personal information and security

16.1. The parties shall comply with POPIA and identify their roles as responsible parties or operators for each processing activity in the Event Data Schedule.

16.2. A tap or page view does not itself constitute marketing consent or permission to disclose identifiable attendee contact information.

16.3. Access to exhibitor enquiries, event analytics, sponsor reports or personal data shall be restricted to the lawful purpose and authorised recipient; the parties shall execute a written operator agreement where required.

17. Intellectual property and brand licence

17.1. TAPDX retains ownership of its platform, source code, configured journey framework, templates, methods, proprietary documentation and marks; no transfer of such rights is created by a tag purchase.

17.2. Each party grants the other a limited, non-exclusive licence to use its authorised branding and materials solely for the accepted event and agreed deliverables.

17.3. The Event Partner shall not reproduce, reverse engineer, distribute or repurpose TAPDX proprietary materials outside its agreed licence, except where applicable law permits.

18. Confidentiality

18.1. Each party shall keep the other party's non-public business information, partner rates, customer records, supplier arrangements and technical materials confidential and use them only to perform the agreement.

18.2. Authorised advisers and contractors may access information only on a need-to-know basis subject to appropriate confidentiality protections; legally required disclosure remains permitted.

18.3. Supplier quotations, costs, contribution calculations and internal margins are confidential TAPDX information and shall not be placed in the Partner-facing Schedule A.

19. Duration, breach and termination

19.1. The agreement shall commence and terminate on the dates and conditions recorded in Schedule A, subject to accrued rights and applicable law.

19.2. A party affected by a material breach may require appropriate written remediation and exercise its contractual or lawful remedies if the breach is not remedied within the agreed or legally required period.

19.3. Termination does not cancel accrued payment obligations, qualifying earned commission or duties concerning confidentiality, data protection, intellectual property and dispute resolution.

19.4. Termination does not create an automatic continuing commission over future customers or events.

20. Liability, disputes and general

20.1. The parties remain responsible for their own obligations, negligent acts and compliance with applicable law; no exclusion applies to a right or liability that cannot lawfully be excluded.

20.2. The parties shall first attempt good-faith discussions on a written dispute notice, without restricting urgent legal relief or mandatory complaint rights.

20.3. The laws of the Republic of South Africa govern. Amendments must be agreed in writing by authorised representatives, and the severability of any invalid clause shall not undermine the remainder of the agreement.

20.4. Formal correspondence may be sent to iconic.connex25@gmail.com, subject to any additional notice details recorded in Schedule A.
